These Terms and Conditions constitute a legally binding agreement made between you (the "Client") and Vyqor Digital Systems Inc. ("Agency"), concerning your access to and use of our website and software development services.

By engaging our services or signing a Statement of Work (SOW), you agree that you have read, understood, and agreed to be bound by all of these Terms.

Vyqor provides digital engineering, web/mobile application development, AI integration, and ERP automation. The specific scope, deliverables, and timeline for any project will be outlined in a separate Statement of Work (SOW) or Proposal document signed by both parties.

• Projects operate on a milestone-based or retainer pricing model.
• A non-refundable deposit (typically 50%) is required upfront to secure development resources and sprint slots.
• Final payment is due prior to the transfer of final source code and deployment to production.
• Invoices are payable within 7 days of issuance. Late payments may incur a 5% monthly fee.

The Client agrees to provide timely feedback, necessary assets (logos, copy, API keys), and access to required systems. Delays in client feedback may result in adjusted project timelines. The Client warrants that any materials provided do not infringe on third-party intellectual property.

Upon full and final payment, all custom code, designs, and deliverables created specifically for the Client will be transferred to the Client. Vyqor retains the right to use generic, pre-existing code libraries, frameworks, and components, as well as the right to showcase the completed work in its portfolio (unless a strict NDA prohibits it).

Both parties agree to keep proprietary information confidential. Vyqor operates under a standard NDA for all enterprise projects. We will not disclose your business logic, internal data, or trade secrets to any third party without your written consent.

Either party may terminate the agreement with 14 days written notice. In the event of termination, the Client agrees to pay for all work completed up to the termination date. Vyqor will provide all completed deliverables paid for up to that point.

In no event shall Vyqor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability shall not exceed the total amount paid by the Client for the specific project.

These Terms shall be governed by and defined following the laws of Delaware, USA. Any dispute shall be resolved exclusively by the competent courts of that jurisdiction.
